Until
recently directors generally felt they needed no training
and already knew all that needed to be known for their role.
Corporate frauds at ENRON, WORLDCOM and VIVENDI and our own
UTI have shown to them how wrong they were. These frauds focus
on the need for training, specially of non-executive independent
directors to decipher balance sheets and take proactive role
in developing vision and planning strategy of the organisations.

Importance
of Training in Governance
IOD believes that the problem of corporate misgovernance that
we see in India is primarily due to lack of effective training
in company directorship regrettably corporate governance is
not part of any regular course syllabus even in major business
schools. This is despite the fact that recent board room reforms
introduced in most countries have put the onus of responsibility
on directors. Directors are facing prison sentences for failing
to discharge their fiduciary roles. In the case of Rail Track
of UK, even the liability for the train accident in Potters
Bar has been put on the shoulders of the directors and they
are being prosecuted in a criminal court.
Few business realises that the cambrian explosion of stakeholder's
aspiration has profoundly altered the market landscape unless
directors understand the enormity of changes and learn strategies
to deal with them. They will be misfits.

Naresh
Chandra Committee Report
In India, Naresh Chandra Committee has specially recommended
compulsory training for all non-executive directors. One of
its key recommendations is the appointment of 50% of board
as independent non-executive directors. Such appointment of
independent directors, whatever percentage is finally accepted
by the government, will be meaningless if they are not trained
effectively.

Recognition by World
Council For Corporate Governance
To give a practical exposure, each participant is required
to prepare a case study in the form of a dissertation on completion
of the course. The "Diploma in Company Directorship"
has been tied up to be awarded by the World Council for Corporate
Governance (UK), on successful completion of all the 12 modules
of the course followed by submissions and acceptance of dissertation.

Director
